Real Estate & Telecommunications Towers.
Portfolio purchase of Twenty Million Dollar ($20,000,000) portfolio of cell phone towers and related real estate assets across multiple south eastern states. Major title issues on over 50% of portfolio properties.  Cleared all liens, addressed all ownership documentation and recorded same to protect chain of title. Deal closed smoothly with no post-closing disputes.
Real Estate & Telecommunications Towers.

Portfolio purchase of Eighteen Million Dollar ($18,000,000) portfolio of cell phone towers and related real estate assets in northeastern United States.  Negotiated release from cross collateralization financing and new ground leases for problem sites.  Securing all collateral, and other lienholders in first lien potion. Negotiated assignments of all collateral, and negotiated inter-creditor/subordination agreement with other lien holders. Deal closed smoothly with no post-closing disputes.

Secured Lending.

Represented Borrower regarding a Fifty Million Dollar ($50,000,000) revolving credit loan.  The purpose of the loan was for capital infusion and construction of a new research facility.  Borrower is in the fragrance business, and the raw materials used by the Borrower to produce their products are subject to the farming cycle.  Thus, the raw materials Borrower needed only come to market at certain times of the year.  Borrower would use the revolving line to purchase their raw materials in bulk during the proper season and then pay down the revolving line as finished products were sold.  I reviewed and negotiated all loan closing documentation. Deal closed smoothly with no post-closing disputes.

Real Estate & Secured Lending.

Represented Seller (bank) regarding the financing and sale of a Six Million Dollar ($6,000,000) REO property.  The Buyer wanted to purchase the property in combination with a health services business located at a second property.  Seller funded; i) the purchase of the second property, ii) the purchase of the REO property, and iii) the assets of the health services business.  I drafted and negotiated all loan documents, all title closing documents and directed both loan and title closings. Deal closed smoothly with no post-closing disputes.

Represented buyer regarding the purchase of Two Million Five Hundred Thousand Dollar ($2,500,000) commercial property for trucking and storage business.  (Many environmental issues.)  Negotiated closing documents and drafted environmental escrow agreement. Represented Buyer regarding Four Million Dollar ($4,000,000) purchase of land and improvements for construction of a car dealership. With this deal there were some major environmental concerns resulting from a previous manufacturing use of the property. Therefore, in addition to drafting and negotiating standard title closing documentation, I negotiated an Environmental Obligations Agreement, and an Environmental Escrow Agreement.  Deal closed smoothly with no post-closing disputes.  

Asset Sale of Business.

Represented medical imaging company regarding a Four Million Five Hundred Thousand ($4,500,000) purchase of business assets.  Multiple companies involved, liens on assets, and key employees required by purchaser. Negotiated employment, non-competition, and non-solicitation agreements with key employees, verified clear interest on all assets and closed the deal. Deal closed smoothly with no post-closing disputes.

Represented Seller regarding an asset sale of a Marina for One Million Four hundred Thousand Dollars ($1,400,000).  Significant environmental issues and complex liability and title issues. Negotiated multiple escrows and post-closing requirements. Represented a 501(c)3 regarding the purchase of a building and obtaining municipal approvals for construction of a child care center/office space.  Negotiated the Agreement of Sale, appeared at municipal hearing, oversaw the due diligence investigation, drafted environmental escrow agreement, and directed closing. Represented Seller (bank) regarding the sale of a small golf course and restaurant with liquor license.  Drafted and negotiated Agreement of Sale, assisted Buyer in liquor license transfer, and directed closing. Deal closed smoothly with no post-closing disputes. 

Real Estate, Liquor License & Secured Lending.

Represented restaurateur in leasing space in Edgewater, New Jersey, obtaining Five Hundred Thousand Dollars ($500,000) in financing for construction, and purchase/transfer of liquor license. Deal closed smoothly with no post-closing disputes.

Secured lending.

Represented Seller regarding multiple sales of commercial paper and mortgages to investors.  Sale amounts ranged from Four Hundred Thirty Nine Thousand Dollars ($439,000) to Two Million Five Hundred Thousand Dollars ($2,500,000). Deals closed smoothly with no post-closing disputes.

Real Estate.

Represented the Seller regarding the sale of a One Million One Hundred Thousand Dollar ($1,100,000.00) twelve (12) unit residential building in Westchester New York.  Post contract but pre-closing, a tax lien on the property was foreclosed and a foreclosure sale occurred resulting in a third party owning the property.   Fortunately, the foreclosing attorney did not realize the Seller was a partnership and not a corporation, and thus the notice was not properly served on my client under New York law. I had to negotiate the unraveling of the foreclosure sale and further negotiate a forbearance agreement that would not require full payment to lienholder until after the anticipated closing date. Deal closed smoothly with no post-closing disputes.

Leasing.

Represented Landlord regarding drafting and negotiating a lease of a 30,000+ square foot space to a grocery store.  The terms of the lease included a twenty (20) year term with six (6) five (5) year renewal options.  In addition to the lease, I negotiated the SNDA and unconditional guarantee from tenant’s parent corporation. Deal closed smoothly with no post-closing disputes.
